Terms of Service
§ 01 Acceptance of Terms
By accessing or using uregisto.com (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
§ 02 Service Description
Uregisto is an online accounting and document management platform for sole traders and small businesses. The Service includes:
- Document management — upload, organise, and retrieve financial documents by company and period.
- Invoice generation — create, preview, and export professional invoices as PDF.
- Cloud storage integration — store your files in your own Google Drive or Dropbox account via OAuth.
- Shared links — generate time-limited links to share a monthly document set with third parties.
We reserve the right to add, modify, or remove features at any time. We will provide reasonable notice of changes that materially affect the Service.
§ 03 Account Registration & Security
To use the Service you must create an account with a valid email address and a password. You are responsible for:
- Providing accurate and up-to-date registration information.
- Keeping your password confidential and not sharing your account with others.
- All activity that occurs under your account.
Notify us immediately at legal@uregisto.com if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use where you failed to take reasonable precautions.
§ 04 Subscription & Payment
The Service may offer a free tier with limited features and paid plans billed monthly or annually. Pricing is displayed on the website and may change with 30 days' prior notice.
- Billing — paid plans are billed in advance at the start of each billing period.
- Cancellation — you may cancel at any time. Access continues until the end of the paid period; no partial refunds are issued unless required by applicable EU consumer law.
- Failed payments — if a payment fails, we may downgrade your account to the free tier after a grace period of 7 days.
- Taxes — prices are exclusive of VAT where applicable. VAT is charged at the rate applicable in your country of residence.
§ 05 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload content that infringes intellectual property rights or contains malware.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble the Service.
- Resell, sublicense, or otherwise commercially exploit the Service without our written consent.
- Use automated scripts or bots to access the Service in a way that burdens our infrastructure.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
We reserve the right to investigate suspected violations and may suspend or terminate accounts accordingly.
§ 06 Intellectual Property
Our platform: The Service, including its design, code, trademarks, and content, is owned by Uregisto and protected by applicable intellectual property law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Your data: You retain full ownership of all documents, invoices, and data you create or upload through the Service. By using the Service you grant us a limited, non-exclusive licence to process your data solely to provide the Service to you.
§ 07 Data Processing
Our collection and use of your personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that you have read and understood the Privacy Policy.
Where required by GDPR, we act as a data processor on your behalf for the document and invoice data you create. You remain the data controller and are responsible for ensuring any personal data you enter (e.g. counterparty names and addresses) is handled lawfully.
§ 08 Third-Party Services
The Service integrates with third-party platforms including Google Drive and Dropbox. By connecting these integrations you agree to their respective terms of service and privacy policies. We are not responsible for the availability, security, or data-handling practices of third-party services.
- You are responsible for the security settings and access controls on your own Google Drive or Dropbox account.
- Files stored in your cloud are governed by the terms of the respective provider, not by us.
- Revoking access — you may disconnect any integration at any time from your account settings. Revoking access does not delete files already written to your cloud storage.
§ 09 Disclaimers & Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
We do not guarantee that the Service will be error-free or available 100% of the time. We will make reasonable efforts to maintain uptime but are not liable for losses caused by downtime or data unavailability.
To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the Service is limited to the fees you paid to us in the three (3) months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages.
Nothing in these Terms limits liability that cannot be excluded under applicable EU consumer law, including liability for fraud, death, or personal injury caused by our negligence.
§ 10 Account Termination
By you: You may delete your account at any time from your account settings or by emailing legal@uregisto.com. Upon deletion, your account data will be permanently removed within 30 days. Files stored in your Google Drive or Dropbox are unaffected and remain under your control.
By us: We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. We will provide advance notice where reasonably possible. In the event of termination by us without cause, we will refund any prepaid fees for the unused portion of your subscription period.
§ 11 Governing Law
These Terms are governed by the laws of Portugal and, where applicable, the law of the European Union. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Portugal, without prejudice to your rights as a consumer under the law of your country of residence.
EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
§ 12 Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above. For material changes, we will notify you by email at least 30 days before the new Terms take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cancel your account before the changes take effect.
